Terms of service

The terms on which we provide our services and on which you use this site. Engagement-specific terms live in the signed order form, which takes precedence.

Draft — pending legal review

This document follows the structure and disclosure standard expected of a firm of this kind, but it has not been reviewed by counsel and it is not legal advice.

01

Agreement to these terms

These terms are a binding agreement between you and Mogul (“we”, “us”). By using this site or engaging our services, you accept them. If you do not accept them, do not use the site.

Where you accept these terms on behalf of a company, you confirm you have authority to bind it, and “you” means that company.

02

Which document wins

If there is a conflict between documents, this is the order of precedence:

  • The signed order form or statement of work for your engagement.
  • Any data processing agreement between us.
  • These terms of service.

Nothing on this website forms part of the agreement. Figures, case records, and timelines published here are illustrative and are not a representation, warranty, or commitment as to the results of any engagement.

03

What we provide

We provide business development services, which may include target market definition, list construction and research, message development, multi-channel outbound execution, reply handling, qualification, appointment setting, reporting, and — where the order form says so — closing support.

The precise scope, volumes, channels, territories, and service levels for your engagement are set out in the order form. We may improve or change our methods provided the agreed scope and outcomes are not reduced.

04

What we need from you

Outbound fails without the client, so you agree to:

  • Give accurate information about your offer, pricing, ideal customer, and competitive position, and tell us promptly when it changes.
  • Provide and maintain the sending infrastructure, mailboxes, domains, calendars, and CRM access the engagement requires, or authorize us to do so on your behalf.
  • Have capacity to attend the conversations we book, and to follow through afterwards.
  • Review and approve messaging, target profiles, and any material sent under your name within the agreed review window.
  • Comply with all laws applicable to your business and to the marketing of your offer.

Where a delay or failure on your side prevents us from performing, our obligations are suspended to that extent and the fees remain payable.

05

Fees and payment

Fees, currency, billing frequency, and any performance component are set out in the order form. Unless stated otherwise there:

  • Invoices are payable by the due date shown on the invoice.
  • Fees are exclusive of VAT, sales tax, and any other applicable tax, which you pay in addition.
  • Late payment may carry interest as permitted by applicable law, and we may suspend services on written notice while an amount is overdue.
  • Fees paid are non-refundable except where these terms or the order form say otherwise, or where the law requires a refund.
  • Third-party costs incurred with your approval — data, tooling, sending infrastructure — are recharged at cost unless the order form includes them.
06

Term, renewal, and termination

The engagement runs for the initial term in the order form and renews for successive periods of the same length unless either party gives written notice of non-renewal before the current term ends, within any notice period set out in the order form.

Termination for cause

Either party may terminate immediately on written notice if the other commits a material breach that is not remedied within 30 days of notice, becomes insolvent, or ceases to trade.

On termination

  • Fees for work performed up to the termination date fall due.
  • We hand over the target lists, sequences, and reporting produced for you under the license in section 08.
  • Each party returns or deletes the other's confidential information on request, subject to legal retention requirements.
  • Sections on confidentiality, intellectual property, liability, indemnity, and governing law survive.
07

Intellectual property

We retain ownership of our methods, frameworks, templates, research processes, internal tooling, and anything we developed before or outside your engagement. Nothing transfers that ownership to you.

You retain ownership of your brand, content, product information, and any data you supply.

On full payment we grant you a perpetual, non-exclusive, worldwide license to use the campaign-specific deliverables produced for you — target lists, message sequences, and reporting — for your own business purposes.

We may describe the engagement in general terms for our own marketing, without naming you, unless the order form says otherwise. We will not use your name, logo, or a quotation without your written permission.

08

Confidentiality

Each party will keep the other’s confidential information in confidence, use it only for the engagement, and disclose it only to people who need it and are under equivalent obligations. This does not apply to information that is public through no fault of the receiving party, was already lawfully held, is independently developed, or must be disclosed by law — and then only to the extent required, with notice to the other party where permitted.

09

Data protection

Each party will comply with applicable data protection law. Where we process personal data on your instructions, we do so under a data processing agreement, which is available on request and forms part of the agreement once signed.

How we handle personal information generally, including data about the people we contact, is set out in our privacy policy.

10

Outbound compliance

We run outreach to the standard set out in our outbound compliance statement, including honoring opt-outs, maintaining suppression lists, and identifying the sender in every message.

You warrant that:

  • Any contact data you supply was collected lawfully and may be used for the outreach contemplated by the engagement.
  • Your offer, and the claims made about it in messaging you approve, are accurate and lawful in every territory we are instructed to target.
  • You will not instruct us to send messages that would breach applicable marketing, privacy, or securities law.

We may refuse or stop any instruction we reasonably believe would breach the law or this standard, without liability, and this is not a breach of the agreement by us.

11

Non-solicitation

During the engagement and for any period afterwards stated in the order form, neither party will knowingly solicit for employment any individual materially involved in delivering it, without the other’s written consent. A general advertisement not directed at that individual is not a solicitation.

12

Warranties and what we do not promise

We warrant that we will perform the services with reasonable skill and care, using appropriately qualified people.

We do not warrant any particular number of replies, meetings, opportunities, or closed revenue, and no figure published on this website or discussed before signature is a guarantee. Outbound depends on your offer, your market, and your team’s follow-through, none of which are wholly within our control.

Except as expressly stated, and to the fullest extent permitted by law, all other warranties, conditions, and terms implied by statute or common law are excluded. The site is provided “as is”.

13

Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Subject to that:

  • Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business, goodwill, or data, however arising.
  • Each party’s total aggregate liability arising out of the agreement is limited to the fees paid and payable by you under the order form to which the claim relates.

These limits reflect the fees charged and the allocation of risk the parties have agreed.

14

Indemnity

You will indemnify us against claims, losses, and reasonable costs arising from your breach of section 10, from contact data you supplied, from claims made about your offer, or from your infringement of a third party’s rights. We will notify you promptly of any such claim, let you control the defense of it, and give you reasonable assistance at your cost.

15

Regulatory status

Mogul is not a registered broker-dealer, investment adviser, funding portal, or placement agent. We provide appointment-setting and administrative support services only.

We do not offer investment advice, recommend or endorse any security, negotiate the terms of any securities transaction, take part in structuring or pricing an offering, handle investor funds or securities, or receive transaction-based compensation in connection with the purchase or sale of a security.

Where an engagement involves outreach to investors, our role is limited to arranging introductions and scheduling conversations on your behalf. Every substantive discussion of an offering is conducted by you. You are responsible for ensuring your fundraising complies with applicable securities law in every relevant jurisdiction, and for engaging your own counsel to confirm it.

16

Use of this site

You may view and print pages of this site for your own business purposes. You may not scrape it, copy it systematically, republish it, or use it to build a competing service.

We may change, suspend, or withdraw any part of the site at any time. We do not warrant that it will be uninterrupted or free of error.

17

Text messaging

Mogul offers one text messaging program: non-marketing service messages. You join it only by ticking the separate, unticked text message checkbox on our contact form or on the fit-call request form on our homepage, and giving a mobile number. It requires its own consent, which is never a condition of any purchase or service. If you join, we may text you about:

  • Replies to an inquiry you sent us
  • Scheduling, confirmations and reminders for fit calls and meetings
  • Client account updates, including onboarding steps, contract signing links, and invoice and payment notices
  • Customer support
  • Message frequency varies.
  • Message and data rates may apply. Mogul does not charge for text messages, but your mobile carrier may.
  • Reply STOP to any message to opt out. You will receive one confirmation and no further texts from us.
  • Reply HELP for help.
  • Mobile carriers are not liable for delayed or undelivered messages.

Questions about the messaging program: hello@mogul.com or +1-208-500-2396. How we handle your number is in the SMS section of our Privacy Policy.

18

General

  • Neither party is liable for failure to perform caused by events beyond its reasonable control, provided it tells the other promptly and mitigates.
  • Neither party may assign the agreement without the other's consent, except to a successor of substantially the whole business.
  • If a provision is held unenforceable, the rest remains in force.
  • A failure to enforce a right is not a waiver of it.
  • The parties are independent contractors. Nothing creates a partnership, joint venture, or employment relationship.
  • Notices must be in writing and sent to the addresses in the order form.
  • No third party may enforce these terms.
19

Governing law and disputes

These terms and any dispute arising from them are governed bythe laws of the jurisdiction in which Mogul is organized, without regard to conflict of laws rules.

The parties submit to the exclusive jurisdiction of the courts of that jurisdiction, unless the order form provides otherwise. Before starting proceedings, each party agrees to raise the dispute with a senior representative of the other and attempt to resolve it in good faith for 30 days.
